At Olmsted & Wilson, P.A. we work with our clients to ensure that when they are organized they are using the proper type of business entity, whether that be a "C" - Corporation, "S" - Corporation, "LLC" limited liability company, Partnership, Limited Partnership or Sole Proprietorship. We take the time to explain the corporate and legal implications of each type of business entity. We may suggest using a Certified Public Accountant to provide tax information and to aid in analyzing our client's overall tax situation.

Formation

We handle all aspects of this process: we will prepare the articles of incorporation (organization for LLC's), bylaws (operating agreements for LLC's), minutes, shareholder agreements, subscription agreements, banking resolutions, employment agreements, and all other documents and instruments that may be required to comply with state and federal law. We also obtain a corporate kit containing the corporation's stock certificates and corporate seal. We assist our clients with state and local filing requirements. We also advise our clients on the proper use and registration of their corporate or fictitious name.

Established Entities

For the established company, we assist with the annual meetings of shareholders and directors, the election of officers and directors, and corporate restructuring. We also ensure that the company complies with all federal and state filings, and provide legal counsel with respect to fundamental corporate governance matters.
